1. Introduction

Welcome to +Vibe Positivity Hub ("we," "our," or "us"). By accessing or using our website, services, content, and applications (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services.

These Terms constitute a legally binding agreement between you and WilGlobo Inc., operating as +Vibe Positivity Hub, a company registered in Alberta, Canada. These Terms are governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein.

2. Eligibility

You must be at least 18 years old to use our Services. By using our Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

3. Account Registration

To access certain features of our Services, you may need to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

4. Subscription and Payment

We offer various subscription plans for our Services. By subscribing to our Services, you agree to pay the applicable fees as described on our website. All fees are in Canadian Dollars (CAD) and are non-refundable except as expressly provided in these Terms.

We use third-party payment processors to process payments. By providing your payment information, you authorize us to charge your payment method for the applicable fees.

5. Cancellation and Refunds

You may cancel your subscription at any time by contacting us at info@wilglobo.com. Upon cancellation, your subscription will remain active until the end of your current billing period, after which it will not renew.

We do not provide refunds for partial subscription periods. However, if you believe you are entitled to a refund due to exceptional circumstances, please contact us, and we will consider your request on a case-by-case basis.

6. Intellectual Property

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, are the exclusive property of WilGlobo Inc. or its licensors and are protected by Canadian and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services without our prior written consent, except as expressly provided in these Terms.

7. User Content

You retain ownership of any content you submit, post, or display on or through our Services ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in connection with providing and promoting our Services.

You represent and warrant that you own or have the necessary rights to submit User Content and that your User Content does not violate the rights of any third party or any applicable law.

8. Prohibited Conduct

  • Use our Services for any unauthorized or illegal purpose

  • Interfere with the proper functioning of our Services
  • Engage in any conduct that restricts or inhibits anyone's use or enjoyment of our Services
  • Use our Services to transmit any material that is defamatory, obscene, or offensive
  • Use our Services to transmit any material that contains viruses or other harmful components

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that our Services will be uninterrupted or error-free, that defects will be corrected, or that our Services are free of viruses or other harmful components.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WILGLOBO INC., ITS AFFILIATES, OR THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF OUR SERVICES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF OUR SERVICES EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING OUR SERVICES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE DATE OF THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless WilGlobo Inc., its affiliates, and their respective directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to your use of our Services, your User Content, or your violation of these Terms.

12. Termination

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason whatsoever, including but not limited to a breach of these Terms.

Upon termination, your right to use our Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Changes to These Terms

We may revise these Terms from time to time. The most current version will always be posted on our website. By continuing to use our Services after any changes to these Terms, you agree to be bound by the revised Terms.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or your use of our Services shall be subject to the exclusive jurisdiction of the courts of Alberta, Canada.
